1. Acceptance of Terms

By using Sidekick or other services provided by OpenHand Inc. ("OpenHand," "we," "our," or "us"), you agree to these Terms of Service. If you do not agree, do not use the service.

2. Eligibility

You must be at least 18 years old to use Sidekick, unless a parent or legal guardian is using the service on your behalf.

3. Sidekick Service

Sidekick is a desktop application designed to help you capture information from telehealth visits, create real-time notes and transcripts, and generate post-visit summaries and suggested next steps. Visit audio is processed in real time for transcription and is not stored or retained by OpenHand. Sidekick may be offered in early access or beta, and features may change, be limited, or be discontinued.

Sidekick is currently offered without charge during early access. If we introduce paid features, we will disclose applicable pricing before charging you.

4. Not Medical Advice

Sidekick is an informational and documentation tool. OpenHand is not a health care provider, and Sidekick does not diagnose, treat, prescribe, or replace professional medical advice. Transcripts, summaries, and other AI-generated content may be inaccurate, incomplete, or omit important context. You should confirm important medical information, instructions, and next steps with your clinician.

Do not use Sidekick for emergencies or time-sensitive medical decisions. If you believe you have a medical emergency, call 911 or your local emergency service. OpenHand is not responsible for medical care provided by a clinician or for the availability or operation of a third-party telehealth platform.

5. Audio Capture and Transcription

You are responsible for making sure you have the legal right to capture or transcribe visit audio and for providing any notice or obtaining any consent required from the clinician and other participants. Recording and consent laws vary by jurisdiction. You may not use Sidekick to capture or transcribe a person without any consent or authorization required by law.

6. Accounts and Security

You are responsible for providing accurate account information, keeping your credentials secure, and for activity that occurs through your account. Notify us promptly if you believe your account has been compromised.

7. Your Content and Feedback

You retain ownership of information and content you provide to Sidekick. You grant OpenHand a limited right to transmit and process your content and, for content Sidekick retains, to host and store it as necessary to provide, maintain, secure, and support the service and as described in our Privacy Policy. You represent that you have the rights and permissions needed to provide that content.

If you voluntarily provide product feedback, you permit OpenHand to use that feedback to improve and develop its products without obligation to compensate you.

8. Acceptable Use and OpenHand Rights

Do not use Sidekick in violation of law, another person's rights, or applicable provider or platform rules.
Do not attempt to gain unauthorized access to the service or another user's information, interfere with the service, or introduce malicious code.
Do not copy, resell, reverse engineer, or attempt to extract non-public source code or technical components of Sidekick except where applicable law expressly permits it.
Do not impersonate another person or provide content you do not have the right to use.

OpenHand owns Sidekick and its software, designs, trademarks, and other technology. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use Sidekick for its intended purpose.

We may suspend or terminate access when reasonably necessary to address misuse, security or legal risks, a material violation of these Terms, or discontinuation of the service.

9. Privacy

Your use of Sidekick is subject to the OpenHand Privacy Policy, which explains how we handle personal and health information.

10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, SIDEKICK IS PROVIDED "AS IS" AND "AS AVAILABLE." OPENHAND DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT TRANSCRIPTS OR AI-GENERATED OUTPUTS WILL BE COMPLETE OR ACCURATE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OPENHAND AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF SIDEKICK.

TO THE FULLEST EXTENT PERMITTED BY LAW, OPENHAND'S TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID OPENHAND FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) $100. THESE LIMITATIONS DO NOT APPLY WHERE LIABILITY CANNOT LEGALLY BE LIMITED OR EXCLUDED.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last Updated" date and provide any additional notice required by law. Your continued use after the updated Terms take effect means you accept them, except where applicable law requires separate consent.
